We are seeking a mid-level associate to join the firm's Private Equity/M&A practice in New York. This role involves advising private equity sponsors and portfolio companies on mergers, acquisitions, joint ventures, divestitures, and other strategic transactions. The ideal candidate will have a strong foundation in private equity deal work and a commercial mindset, coupled with excellent drafting and negotiation skills.
Key Responsibilities
- Represent private equity sponsors in M&A transactions and related investment matters
- Draft and negotiate purchase agreements, partnership agreements, and ancillary transaction documents
- Manage deal execution from initial structuring through closing
- Provide strategic legal advice to clients on complex transactional issues
- Collaborate with internal teams and clients to ensure seamless transaction processes
- Mentor and supervise junior associates involved in deal work
Qualifications
- 5+ years of experience focused on private equity and M&A transactions
- JD from an accredited law school; LLM or foreign equivalent a plus
- Admitted to the New York Bar (or eligible for admission)
- Strong academic credentials and analytical skills
- Excellent drafting, negotiation, and communication abilities
- Ability to manage multiple projects under tight deadlines
- Proactive, resourceful, and committed to professional growth
